Result of AGM and General Meeting
Active Energy, the pan-European supplier of high quality woodchip and associated timber products for green energy Biomass power generation and MDF manufacturing, is pleased to announce the following:
Further to the announcement on 4 June 2013 in relation to the proposed acquisition of the entire issued share capital of Nikofeso Holdings and the proposed Subscription to raise £3.07 million (gross), the Directors are pleased to announce that at the Annual General Meeting and General Meeting held earlier today all resolutions were duly passed.
It is expected that Admission will become effective and dealings in the Subscription Shares, the Ordinary Shares being issued pursuant to the conversion of the 2013 Unsecured Subordinated Loan and the Consideration Shares will commence on 3 July 2013. Following the proposed acquisition and Subscription, the Company will have 555,865,570 ordinary voting shares in issue.
In addition, as set out in the announcement on 4 June 2013, following Admission Matteo Girlanda will be appointed to the Board as Chief Operating Officer. Further details relating to Matteo Girlanda are set out below.
Terms defined in the announcement dated 4 June 2013 have the same meaning in this announcement.
