Board changes

Norcros, the market leading supplier of innovative branded showers, taps, bathroom accessories, tiles and adhesives, today announces two changes to the Board.

John Brown, Senior Independent Director and Chairman of the Audit Committee, has notified the Board of his intention to retire from the Board at the AGM on 24 July 2013. John was Chairman from July 2007 when the Group floated, until November 2012 when he stood down from the role in order to take on his current responsibilities.

David McKeith will join the Board on the same date as Senior Independent Director and Chairman of the Audit Committee. David retired from PricewaterhouseCoopers ("PwC") in 2008, spending the last seven years as Senior Partner of the Manchester and Liverpool offices, as well as five years serving on PwC's UK Supervisory Board. David is currently a Non Executive director and Audit committee Chairman of Sportech plc, and has previously held the same roles at NCC Group plc. He is also Chairman of the Halle Orchestra and of Greater Manchester Chamber of Commerce.

Commenting on John's retirement, Martin Towers, Chairman, said "John has been instrumental in steering the Group through some difficult times during his tenure, and it is testament to him and the Board he has chaired that he leaves the Group in such a strong and exciting position. On behalf of the Board, I wish John well for the future, and I look forward to working with David."

David Hamilton, Executive Director and Company Secretary has also notified the Board of his intention to retire at the AGM on 24 July 2013.

David has been replaced as Company Secretary by Richard Collins. Richard qualified as a solicitor in 1988 and was previously Company Secretary and Director of Risk and Compliance at Vertex Financial Services.  Prior to that, Richard held a number of company secretarial and legal positions with Tribal Group plc, Blick plc and Aggregate Industries plc. In line with best practice he will not be appointed to the Board as an Executive Director.

Commenting on David's retirement from the Board, Martin Towers, Chairman, said "David has been with the Group since 1973 and as Company Secretary since 1989, and over that time numerous Norcros Chairmen, Directors, and employees have relied on, and benefitted from David's wise counsel. Forty years of service is an incredible achievement, and the Board and I would like to thank him for his loyalty and dedication to Norcros."

There are no other disclosures to be made under Listing rule 9.6.13.
