NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notification made in accordance with Rule 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules.

1.      The Company was notified yesterday that Kevin Taylor, a Person Discharging Managerial Responsibility ("PDMR"), exercised options over 21,149 ordinary shares of 2.5 pence each in BAE Systems plc under the BAE Systems Performance Share Plan at nil consideration on 6 June 2013 and subsequently disposed of 11,872 of those shares at a price of 401.2 pence per share.  

2.      The Company was notified today by the trustee of the BAE Systems Share Incentive Plan, Capita IRG Trustees Limited, that on 4 June 2013 the following PDMRs each acquired the number of ordinary shares of 2.5p each listed below in the share capital of BAE Systems plc following the reinvestment of dividends payable on ordinary shares held in the BAE Systems Share Incentive Plan:
