In accordance with the FSA's Disclosure and Transparency Rule 5.6.1, IG Group Holdings Plc (the "Company", "IG" or "IG Group") hereby notifies the market of the following:

The Company's issued share capital as at 1 May 2013 consists of 364,881,828 ordinary shares of 0.005p each, with voting rights.

The Company does not hold any of the ordinary shares in Treasury.

The above figure of 364,881,828 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
