TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 23 April 2013 it transferred 11,756 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was nil pence.  Following the transfer of these shares, the Company holds 2,900,907 of its ordinary shares in treasury and has 147,705,937 ordinary shares in issue (excluding treasury shares).
