TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 19 April 2013 it transferred 2,222 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was 675 pence.  Following the transfer of these shares, the Company holds 2,912,663 of its ordinary shares in treasury and has 147,694,181 ordinary shares in issue (excluding treasury shares).
