Notification of significant holding

As per the terms of a Notification of Major Interest in Shares made today, Pembroke today discloses that as a result of allocations made on 5 April and 8 April pursuant to its recent Offer for Subscription  (the "Offer"), clients of Ruffer LLP ("Ruffer"), over whose assets Ruffer retains discretionary authority and on whose behalf Ruffer may exercise relevant voting rights, hold a 38.2% voting interest in the Company (the "Controlled Interest") based on a holding of 3,464,000 ordinary shares and a total issued share capital of the Company of 9,071,002 shares (including 2 ordinary shares issued as subscriber shares). 

The Company has received further applications as part of the Offer with the result that, once allotted, the Controlled Interest would reduce to 31.1%. It is expected that the Controlled Interest will be further diluted below 30% in due course through further allocations of shares in the Company.  Ruffer is currently discussing the level of the Controlled Interest with the Panel on Takeovers and Mergers.
