Directors' Dealings

On 11 April 2013 Ian Dinwoodie, Chief Executive Officer, exercised options over 150,000 Xaar plc ordinary shares of 10 pence each ("Ordinary Shares").

100,000 options were exercised at an exercise price of 84 pence per Ordinary Share. The options had been granted under the Xaar plc 2004 Share Option Scheme on 20 May 2004 and vested on 20 May 2007, having met the performance criteria in full.

50,000 options were exercised at an exercise price of 109 pence per Ordinary Share. The options had been granted under the Xaar plc 2004 Share Option Scheme on 28 October 2004 and vested on 28 October 2007, having met the performance criteria in full.

All of the Ordinary Shares were sold on 11 April 2013 at a price of 480 pence.

The shareholding held by Mr. Dinwoodie is unaffected by the exercise and sale of these Ordinary Shares. Both before and after the exercise and sale Mr. Dinwoodie held 207,449 Ordinary Shares, representing a beneficial interest in the Company of 0.28% of the current issued share capital.
