Premier Foods plc ("Premier" or the "Company")

Annual Report and Accounts and Notice of AGM

Following the release on 21 February 2013 of Premier's preliminary results for the year ended 31 December 2012, the Company has today posted its Annual Report and Accounts for 2012 to shareholders.

The Company's 2013 AGM will be held at 10.00 am on Thursday 25 April 2013 at the

Holiday Inn - Bloomsbury, Coram Street, London, WC1N 1HT.

Ian McHoul is approaching the end of his third term in office and accordingly will retire but not seek re-election at the AGM. Following his retirement Ian Krieger will assume the role of Audit Committee Chairman. The Company would like to thank Ian McHoul for his significant contribution to the Audit Committee and the Board since the Company floated in 2004.

Copies of the Annual Report and Accounts 2012 and Notice of AGM are available to view or download from the Company's website, http://www.premierfoods.co.uk/investor-relations/, and have been submitted to the UK Listing Authority's National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do.
