NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Notification made in accordance with DTR 3.1.4R(1)(a) of the Disclosure Rules and Transparency Rules:

The Company was notified today that Ian King, a Person Discharging Managerial Responsibilities, exercised an option over 318,314 ordinary shares of 2.5 pence each in BAE Systems plc under the BAE Systems Executive Share Option Plan at an option price of 172 pence per share on 5 March 2013 and subsequently disposed of 250,100 of those shares at a price of 363.9 pence per share to cover the option price and tax withholdings.  The sale transaction took place on the London Stock Exchange.
