In accordance with the FSA's Disclosure and Transparency Rules, Land Securities Group PLC confirms that, as at 31 January 2013, its issued ordinary share capital consisted of 792,062,953 shares of 10p each, of which 10,495,131 shares were held in Treasury.

Accordingly, the total number of voting rights in Land Securities Group PLC as at

31 January 2013 was 781,567,822.

This figure may be used by shareholders as the denominator for calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Land Securities Group PLC under the FSA's Disclosure and Transparency Rules.
