TRANSACTION IN OWN SHARES

Close Brothers Group plc (the 'Company') announces that on 23 January 2013 it transferred 56,724 ordinary shares of 25 pence each from treasury to participants in its employee share plans. The transfer price was 710.23 pence. Following the transfer of these shares, the Company holds 3,075,827 of its ordinary shares in treasury and has 147,523,815 ordinary shares in issue (excluding treasury shares).
