Unitronics (1989) (R"G) Ltd. is an Israeli company that engages, through its Products Department, in the design, development, production, marketing and sale of industrial automation products, mainly Programmable Logic Controllers ("PLCs"). PLCs are computer-based electronic products (hardware and software), used in the command and control of machines performing automatic tasks, such as production systems and automatic systems for industrial storage, retrieval and logistics. The Company also engages, through its Systems Department and/or its subsidiaries, in the design, construction and maintenance services in the framework of projects for automation, computerization and integration of computerized production and/or logistics systems, mainly automated warehouses, automated distribution centers and automated parking facilities. The Company's PLCs are distributed by over one hundred and forty distributors (and a wholly owned US subsidiary) in approximately fifty countries throughout Europe, Asia, America and Africa. The services of the Systems Department are provided to customers in Israel and also outside Israel.

Re: An immediate report concerning the Submitting of a Draft Shelf Prospectus

Pursuant to regulations 36(a), to the Israeli Securities Regulations (Periodic and Immediate Reports), 1970

Unitronics (1989) (RG) Ltd. (the "Company") is hereby announces that on 22.06.2014 a draft shelf prospectus has been submitted to the Securities Authority and the Tel Aviv Stock Exchange Ltd., on the basis of the financial statements of the Company as of March 31, 2014 (the "Draft Prospectus"). According to the Draft Prospectus, the Company may issue shares, number of series of debentures and convertible debentures as well as option warrants for shares and option warrants for bonds, at the scope and conditions which will be determined based on the Shelf Offering reports, if and when it shall be published by the Company in the future. The offering of Securities according to the Draft Prospectus shall be made in Israel only and not Belgium. The Draft Prospectus that has been filed does not include immediate raising at this time.
