Airport City, Israel – June 14, 2016 - Unitronics published the attached Immediate Report pursuant to the requirements of Israeli law, in connection with the publication of the Annual report regarding Company Debentures (series 4) published by the trustee for such Debentures.

Unitronics (1989) (R"G) Ltd. is an Israeli company that engages, through its Products Department, in the design, development, production, marketing and sale of industrial automation products, mainly Programmable Logic Controllers ("PLCs"). PLCs are computer-based electronic products (hardware and software), used in the command and control of machines performing automatic tasks, such as production systems and automatic systems for industrial storage, retrieval and logistics. The Company also engages, through its Systems Department and/or its subsidiaries, in the design, construction and maintenance services in the framework of projects for automation, computerization and integration of computerized production and/or logistics systems, mainly automated warehouses, automated distribution centers and automated parking facilities. Re: Annual Report for 2015 – Trust on Behalf of Holders of Series 4 debentures Issued by Unitronics (1989) (RG) Ltd.

In our capacity as Trustees on behalf of the holders of Series 4 debentures ("debentures") issued by Unitronics (1989) (RG) Ltd. ("Company"), we are pleased to present an annual report on the trust activities carried out by us in the period from January 1, 2015 to December 31, 2015 (including) ("Reporting Period"), pursuant to the Trust Deed and in accordance with Section 7 of the Trust Law, 5739-1979 and Section 35H1 of the Securities Law, 5728-1968.

Trust Deed

On 28/01/13, an initial issuance of the debentures Series 4 of Unitronics (1989) (R"G) Ltd. was made.

Regarding the number of outstanding debentures, see the Company's reports and details on the MAYA site of the Tel Aviv Stock Exchange Ltd.

Collaterals and Commitments

The Company provided collateral in accordance with its obligations in the trust deed.

Principal and Interest Payments

Regarding principal and interest payments, see the conditions overleaf and the appendices to the Trust Deed, and see also the Company's reports and details on the MAYA site of the Tel Aviv Stock Exchange Ltd.

Special Events

During the Reporting Period the Trustee did not learn of extraordinary event connected with the Trust in accordance with the Trust Deed.

Debentures holders Meetings and Shareholders Meetings

• 1. Regarding meetings of the Company's shareholders that were held in the Reporting Period, including the matters on the agenda and the resolutions passed at those meetings, see the Company's reports on the MAGNA system of the Israel Securities Authority.
• 1. On July 20, 2015 there was a debenture holders meeting which approved the Trustee's office until full payment of the debentures.
