Transparency Declarations

Mechelen, May 21, 2013 – Telenet Group Holding NV ("Telenet" or "the Company") (Euronext Brussels: TNET) hereby discloses information in accordance with Article 14 of the Law of May 2, 2007 and the related Royal Decree of February 14, 2008:

On May 17, 2013, Telenet received 2 transparency declarations from Norges Bank. The first declaration, dated May 6, 2013, states that Norges Bank held 1,984,208 shares of the Company as of May 3, 2013, representing 1.73 % of the total share capital of the Company, together with 3,000,000 shares of the Company on loan, which it has the right to recall at any time.

The second declaration, dated May 17, 2013, states that Norges Bank holds 3,531,612 shares of the Company as of May 14, 2013, representing 3.08 % of the total share capital of the Company. In addition, Norges Bank has 1,765,475 shares of the Company on loan, which it has the right to recall at any time. If Norges Bank would exercise this right to recall or the term of the loan would expire, this would bring the total shareholding of Norges Bank to 5,297,087 shares, representing 4.61 % of the total share capital of the Company.

Any increase above (or decrease below) the following thresholds of total outstanding share capital requires a declaration to Telenet and the Financial Services and Markets Authority (FSMA):

• 1. 3% threshold, as set out by the articles of association of the Company;
• 1. 5% or each multiple of 5% threshold, as set out by Belgian law.
