In accordance with the financial transparency rules and legislation, JP Morgan Asset Management Holdings Inc. has notified Solvay that on 8 May 2012 the total participation of its various affiliates has passed the threshold of 3% of the shares issued by Solvay S.A.

The group JP Morgan Asset Management Holdings Inc. held 2,580,788 Solvay shares on 8 May 2012 through the following affiliates:

JP Morgan Asset Management UK Ltd	1,190,433 Solvay shares
JP Morgan, Investment Management Inc.	1,195,055 Solvay shares
JP Morgan Asset Management (Taiwan)	12,374 Solvay shares
JP Morgan Chase Bank, National Association	182,926 Solvay shares

This amounts to a total of 2,580,788 shares or 3.05% of the shares issued by Solvay S.A.
