Liege, Belgium, 23 July 2020 – 7:30 CEST – Mithra (Euronext Brussels: MITRA), a company dedicated to Women's Health, today announces that the Company's Extraordinary General Meeting (EGM) held on 22 July 2020 approved the issuance of 690,000 warrants for the benefit of LDA Capital Ltd. The warrants were issued as part of the transaction announced on April 24 2020. 1
The warrants have a term of three years. They are generally not transferable and may only be exercised in accordance with the terms and conditions approved by the EGM. Each warrant gives the right to subscribe for one new Mithra share. Should the warrants be exercised, Mithra will apply for the listing of the resulting new shares on Euronext Brussels. The warrants will not be listed on any stock exchange market.
Since the attendance quorum for the proposed issuance of the Share Lending Warrants for the benefit of, respectively, François Fornieri, Alychlo NV, Noshaq SA was not reached (as far as needed in accordance with article 7:193 of the Belgian Companies and Associations Code), Mithra will convene shortly a new EGM.
Mithra's total share capital currently amounts to EUR 31,153,882.82 divided in 42,554,297 ordinary shares. All documents relating to the General Meeting, including the terms and conditions of the warrants, are available on the Company's website.
