DISPOSAL OF TREASURY SHARES AND CHANGE OF TOTAL NUMBER OF VOTING RIGHTS

Lotus Bakeries announces herewith that on 27 January 2022 and 318 of January 2022, it has executed the following transactions to dispose of treasury shares after closing of the market (OTC transaction).

Publication in accordance with article 7:218 §1 of the Code on companies and asticle 8:6 of the Royal Decree of 29 April 2019 implementing the Code on companies and associations.

Lotus Bakeries also announces herewith the total number of voting rights, last amended on 23 January 2022, by obtaining double voting rights on one share that has been held in registered form since January 2020.

This on the basis of article 15 of the Law of 2 May 2007 relating to the disclosure of major holdings in issuers whose shares are admitted to trading on a regulated market, which states that changes in capital, voting securities and voting rights should be published.

Situation on 31 January 2022:

  • Total number of voting securities: 816,013
  • · Total number of voting rights (= the denominator) : 1,237,923
  • Total number of treasury shares: 4,000 i.e. 0.49% of the total shares outstanding (the voting rights related to these treasury shares have been suspended).

The total number of voting rights serves as a basis for the notification of major holdings by the shareholders.
