NOELLE GORIS PROPOSED AS AN INDEPENDENT DIRECTOR OF LOTUS BAKERIES NV

A proposal will be made to the Ordinary General Meeting of May 12, 2023 to appoint Noelle Goris as a director of Lotus Bakeries NV, with the qualification of independent director.

Lotus Bakeries is very pleased to nominate Noelle Goris as a director.

Noelle Goris holds a Master's degree in Law from the Catholic University of Leuven and a Master's degree in Business Administration from the Solvay Business School in Brussels. Noelle built up an international career in sales & marketing which started at Procter & Gamble in 1997, where she was Managing Director Greater Europe Distributor Operations between 2014 and 2016. She then joined Coty, as General Manager Travel Retail (2018-2020) & Export Europe (2016-2020). Today, Noelle is VP Global Travel Retail & Apac at La Prairie Groupe in Zurich, part of the Beierdorf Group. Furthermore, Noelle is member of the Management Board at La Prairie and the Advisory Board of the start-up Hello Hossy.

Noelle will succeed Sabien Sagaert who served as an independent director of Lotus Bakeries NV for 12 years. After 12 years, Sabien no longer meets all the special independence criteria of article 3.5 of the Belgian Corporate Governance Code 2020. Her reappointment is not proposed.

Lotus Bakeries wishes to express its gratitude to Sabine for her contribution as a director of Lotus Bakeries in recent years.
