ORDINARY AND EXTRAORDINARY GENERAL MEETING ON 12 MAY 2023

Today, 12 May 2023, the Ordinary and Extraordinary General Meeting of Shareholders of Lotus Bakeries NV took place.

VOTING RESULTS

All agenda items have been approved by the shareholders. For more details about the voting results per agenda item, please refer to the shareholders' meeting section on the company website.

DIVIDEND

The Ordinary General Meeting of Shareholders of 12 May 2023 has decided to allocate from the profit of the financial year 2022, a gross dividend per share of EUR 45.

The ex-dividend date is 16 May 2023. The dividend will be payable as from 22 May 2023 on surrender of coupon nº 35 at Degroof - Petercam, BNP Paribas Fortis, Belfius, INC Bank and KBC Bank.

(RE)APPOINTMENT BOARD OF DIRECTORS

The general meeting has appointed the following Directors:

• · Appointment of Eagli BV, represented by its permanent representative, Ms Noelle Goris, as independent director of the company. This new director is appointed because of her professional qualities mentioned hereafter. Ms Goris holds a master's degree in law and an MBA in International Business. She started her career with Procter & Gamble Belgium in 1997, working in various sales and marketing positions in Brussels, Rotterdam and Geneva. She was able to build further on that international experience at Coty between 2016 and 2020, one of the largest beauty companies in the world. She was responsible for the luxury segment in Travel Retail Europe and export markets in Europe. She has now spent three years at La Prairie, owned by the Beiersdorf Group, where she is on the Board and responsible for La Prairie Asia Pacific, Global Export Markets and Global Travel Retail. In addition, Noelle Goris has also been a member of Hello Hossy's Advisory Board since 2021. Her extensive international experience will add significant value to Lotus Bakeries and could strengthen the organisation's growth story.
• · Appointment of Lema BV, represented by its permanent representative, Mr Michel Moortgat, as independent director of the company in succession of Lema NV, which entity was dissolved as a result of a demerger.
