NOTIFICATION PURSUANT TO ARTICLE 14 OF THE ACT OF 2 MAY 2007 ON THE DISCLOSURE OF MAJOR SHAREHOLDINGS (TRANSPARENCY REGULATION)

Antwerp, 24 July 2015

Pursuant to the Transparency regulation Intervest Offices & Warehouses announces that it received as at 20 July 2015 a transparency notification from Petercam Limited having its registered office at 1000 Brussels, Place Sainte-Gudule 19 and Petercam Institutional Asset Management Limited, having its registered office at 1000 Brussels, Place Sainte-Gudule 19 as well, which indicated that Petercam Limited has the control over Petercam Insitutional Asset Management Limited.

From this notification appears that the voting rights relating to the Intervest Offices & Warehouses shares which are held directly or indirectly by Petercam Limited as from 15 July 2015 crossed downwards the threshold of 3% of the total of the existing voting rights, namely 2,98%. The notification also mentions: "Petercam Institutional Asset Management Limited has been mandated to exercise the voting rights attached to shares held by Pensioenspaarfonds Defesive, Argenta Pensioenspaarfonds, Petercam Balanced Dynamic Growth, Petercam Securities Real Estate Europe, Petercam Balanced Defensive Growth, Petercam L Equities Opportunity and Petercam Real Estate Europe Dividend. Petercam Institutional Asset Management Limited is allowed to exercise the voting rights at its discretion in the absence of specific instructions. Petercam Institutional Asset Management Limited is controlled by Petercam Limited."

In the transparency notification of 22 June 2015, it was announced that the 3% threshold was crossed.
