# **Ordre du jour de l'assemblée générale extraordinaire**

# **A. Procédure de sonnette d'alarme**

**1. Prise de connaissance du fait que l'actif net de la Société est réduit à un montant inférieur au quart du capital - Prise de connaissance du rapport du conseil d'administration sur les mesures proposées pour assurer la continuité de la Société, rédigé en application de l'article 7:228 du Code des sociétés et des associations ("CSA"), soit l'Augmentation du Capital en Nature (telle que définie ci-dessous).**

# **B. Augmentation du Capital en Nature**

- **3. Prise de connaissance des rapports suivants dans le cadre de l'Augmentation du Capital en Nature:**

Rapport du conseil d'administration exposant l'intérêt pour la Société de l'apport en nature et comportant une description et une évaluation motivée de l'apport, ainsi que la justification du prix d'émission et la description des conséquences de l'opération sur les droits patrimoniaux et sociaux des actionnaires, rédigé en application des articles 7:179, §1, premier alinéa, et 7:197, §1, premier alinéa, CSA; et**
	- **b. Rapport du commissaire examinant la description de l'apport en nature, l'évaluation adoptée et les modes d'évaluation appliqués et évaluant si les données financières et comptables contenues dans le rapport du conseil d'administration sont fidèles et suffisantes, rédigé en application des articles 7:179, §1, deuxième alinéa, et 7:197, §1, deuxième alinéa, CSA.**

Les nouvelles actions seront attribuées à l'Apporteur (tel que défini ci-dessous) à titre de rémunération pour l'apport d'actifs corporels et incorporels, tels que décrits par l'Annexe 1 du rapport du conseil d'administration visé au point 3.a. ci-dessus (les "Actifs Apportés"). Les nouvelles actions seront libérées à concurrence de 100%.**

*Proposition de résolution : L'assemblée décide d'approuver l'augmentation de capital d'un montant de 14.000.000,00 EUR rémunérée par l'émission d'actions de même nature et bénéficiant des mêmes droits et avantages que les actions existantes, et participant aux bénéfices au prorata temporis à compter de la date de souscription.*

*L'assemblée décide que les nouvelles actions seront attribuées à H4 ORPHAN PHARMA, société anonyme de droit français, dont le siège social est situé 10 Avenue du Maréchal Foch, 21000 Dijon, et immatriculée sous le numéro SIREN 821 279 734 (le « Contributeur »), en contrepartie de l'apport de biens matériels et immatériels, tels que décrits à l'Annexe 1 du rapport du conseil d'administration mentionné au point 3.a. de l'ordre du jour.*

**9. Autorisation au conseil d'administration, pour une nouvelle période de cinq ans à dater de la publication de la présente modification des statuts aux Annexes du Moniteur belge, d'augmenter le capital de la Société, en une ou plusieurs fois, pour un montant maximum de 2.500.000,00 EUR (prime d'émission éventuelle exclue), conformément aux termes et conditions prévus dans le rapport spécial du conseil d'administration rédigé en application de l'article 7:199 CSA.** 

*Proposition de résolution : L'assemblée décide d'octroyer au conseil d'administration le pouvoir d'émettre de nouvelles actions, des obligations convertibles ou des droits de souscription, à concurrence d'un montant maximal de 2.500.000,00 EUR, conformément à l'Article 7:199 CSA et aux termes et conditions énoncés dans la nouvelle version proposée de l'Article 6 des statuts et dans le rapport spécial du conseil d'administration établi en application de l'article 7:199 CSA.*

#### **10. Modification de l'article 6 des statuts afin de le mettre en concordance avec les décisions prises.**

*Proposition de résolution : L'assemblée décide d'adopter une nouvelle version des statuts afin de modifier l'Article 6 comme suit :*

*« 6.1 Le conseil d'administration est autorisé à augmenter en une ou plusieurs fois le capital de la société souscrit à concurrence de 2.500.000,00 EUR hors prime d'émission conformément aux dates et suivants les modalités fixées par le conseil d'administration, pendant un terme de cinq années à compter de la date de publication aux Annexes du Moniteur belge d'un extrait du procès-verbal de l'assemblée générale extraordinaire tenue le [x].*

*Cette autorisation est renouvelable dans les conditions prévues par la loi.*

*Le conseil d'administration est autorisé à augmenter le capital comme dit ci-avant, tant par apports en numéraire ou, dans les limites et conditions légales, par apports en nature, que par incorporation de réserves disponibles ou indisponibles ou du compte "primes d'émission". Dans ces derniers cas, l'augmentation pourra avoir lieu avec ou sans émission d'actions nouvelles. L'augmentation de capital dans le cadre du capital autorisé pourra également se faire par l'émission d'obligations convertibles ou de droits de souscription – attachés ou non à une autre valeur mobilière – pouvant donner lieu à la création d'actions conformément aux dispositions légales applicables. Le conseil d'administration est autorisé, lors de l'augmentation du capital, de l'émission d'obligations convertibles ou de droits de souscription, à limiter ou à supprimer, dans l'intérêt social, le droit de préférence prévu par les dispositions légales en vigueur, y compris en faveur d'une ou de plusieurs personnes déterminées, qu'elles soient membres ou non du personnel de la société ou de ses filiales.* 

*6.2 Lorsque l'augmentation de capital décidée par le conseil d'administration comporte une prime d'émission, le montant de celle-ci est, sous déduction éventuelle des frais, affecté à un compte indisponible qui constituera, à l'égard du capital, la garantie des tiers et ne pourra être réduit ou supprimé que par une décision de l'assemblée générale statuant dans les conditions de quorum et de majorité requises pour la réduction de capital, sans préjudice à la faculté du conseil d'administration d'incorporer ledit compte au capital comme prévu au 6.1. ci-avant.* 

*6.3 En vertu d'une décision de l'assemblée générale extraordinaire des actionnaires qui s'est tenue le [x], le conseil d'administration peut également utiliser les autorisations énoncées ci-dessus après la réception par la société d'une communication de l'Autorité des services et marchés financiers dans un délai de trois ans à compter du jour de l'assemblée générale extraordinaire précitée, selon laquelle la société a été saisie d'un avis d'offre publique d'acquisition visant la société, par des apports en numéraire en limitant ou en supprimant le droit de préférence des actionnaires (en ce compris au bénéfice d'une ou plusieurs personnes déterminées qui ne sont pas employées de la société ou de ses filiales) ou par des apports en nature, avec émission d'actions, de warrants ou d'obligations convertibles, dans le respect des dispositions légales applicables.*

*6.4 Le conseil d'administration est autorisé, avec pouvoir de substitution, à amender les statuts lors de* 

*chaque augmentation de capital réalisée dans le cadre du capital autorisé, afin de adapter à la nouvelle situation du capital et des actions.»*

Report of the statutory auditor examining the description made by the board of directors of the contribution in kind, the valuation adopted, the valuation methods applied and evaluating whether the financial and accounting data described in the report of the board of directors are true and sufficient, drafted pursuant to articles 7:179, §1, second paragraph, and 7:197, §1, second paragraph, BCAC.**

*Comment on this agenda item: The board of directors requests the general meeting of shareholders to take note of :*

The new shares will be 100% paid-up.**

*Proposal of resolution: The meeting decides to approve the capital increase up to maximum 14,000,000.00 EUR through the issuance of shares of the same kind and having the same rights and advantages as of the existing shares and participating in the profits pro rata temporis from the date (the "Contributor") as a consideration for the contribution of tangible and intangible assets, as described by the Appendix 1 of the report of the board of directors referred to under point 3.a. of the agenda (the "Contributed Assets").*

Authorization to the board of directors, for a renewed five year-term starting from the date of the publication of the present amendment to the articles of association in the Appendices to the Belgian State Gazette, to increase, in one or several issuances, the capital of the Company for a maximum amount of 2,500,000.00 EUR (any issuance premium excluded), in accordance with the terms and conditions set forth in the special report of the board of directors drafted pursuant to article 7:199 BCAC.** 

*Proposal of resolution: The assembly resolves to grant the board of directors the authority to issue new shares, convertible bonds, or subscription rights, up to a maximum amount of EUR 2,500,000.00, in accordance with Article 7:199 of the Companies and Associations Code and*  *pursuant to the terms and conditions set forth in the new proposed version of Article 6 of the articles of association and in the report of the board of directors drafted pursuant to article 7:199 BCAC .*

#### **10. Amendment to article 6 of the articles of association to reflect the decisions adopted.**

*Proposal of resolution: The meeting decides to adopt a new version of the articles of association in order to amend Article 6 as follows:*

*"6.1 The Board of Directors is authorised to increase the subscribed capital of the company on one or more occasions by up to EUR 2,500,000.00 excluding issue premium, in accordance with the dates and procedures determined by the Board of Directors, for a period of five years from the date of publication in the Annexes to the Belgian Official Gazette of an extract from the minutes of the Extraordinary General Meeting held on [x].*

*This authorisation is renewable under the conditions laid down by law.*

*The Board of Directors is authorised to increase the capital as described above, both by cash contributions or, within the limits and under the conditions laid down by law, by contributions in kind, and by capitalisation of available or unavailable reserves or of the 'share premium' account. In the latter case, the increase may take place with or without the issue of new shares. The capital increase under the authorised capital may also be effected by issuing convertible bonds or subscription rights - whether or not attached to another security - which may give rise to the creation of shares in accordance with the applicable legal provisions. In the event of a capital increase or the issue of convertible bonds or subscription rights, the Board of Directors is authorised, in the interests of the Company, to restrict or cancel the preferential rights provided for by the applicable legal provisions, including in favour of one or more specific persons, whether or not they are members of the staff of the Company or its subsidiaries.* 

*6.2 Where the capital increase decided by the Board of Directors includes an issue premium, the amount thereof shall, after deduction of any expenses, be allocated to an unavailable account which shall constitute, with respect to the capital, a guarantee for third parties and may only be reduced or cancelled by a decision of the General Meeting ruling under the quorum and majority conditions required for a capital reduction, without prejudice to the right of the Board of Directors to incorporate the said account into the capital as provided for in 6.1 above.*
