Regulated Information – Pimaş: competition authorities approval and completion of acquisition 15 October 2014 at 5.45 p.m. CET

Turkish and Russian competition authorities approve Pimaş acquisition by Deceuninck.

Deceuninck NV ("Deceuninck") announces today that it has received approvals from both the Turkish and Russian competition authorities for the acquisition of the Turkish company Pimaş Plastik Insaat Malzemeleri A.S. (Pimaş) (see the Deceuninck press release dated 25 August 2014) The closing of the transaction is taking place on 15 October 2014.

With the closing of the transaction Deceuninck will acquire directly 81.23% of the issued share capital of Pimaş from the Turkish holding company Enka İnşaat ve Sanayi A.Ş. Pimaş is listed on the Istanbul Stock Exchange (BIST: PIMAS). Deceuninck will become the controlling shareholder in Pimaş. As required by applicable Turkish law,within six days of the closing Deceuninck will submit an application to the Turkish Capital Markets Board to make a mandatory tender offer for 18.77% of issued share capital of Pimaş not yet owned by Deceuninck.
