CARE PROPERTY INVEST

Public limited liability company (société anonyme/naamloze vennootschap), Public Regulated Real Estate Company (Société Immobilière Réglémentée (SIR) / Gereglementeerde Vastgoedvennootschap (GVV)) under Belgian Law Registered Office: 3 Horstebaan, 2900 Schoten Companies Registration No. 0456.378.070 (LPR Antwerp) (the "Company")

DISCLOSURE PURSUANT TO ARTICLE 15, §1 OF THE LAW OF 2 MAY 2007 REGARDING THE DISCLOSURE OF MAJOR HOLDINGS (TRANSPARENCY LAW).

The capital increase in cash with irrevocable allocation right, decided on 2 June 2015 by the Board of Directors of the Company within the context of the authorised capital, was realised today, on 22 June 2015.

Within the framework of this capital increase, 2,825,295 new ordinary shares were issued in exchange for a total issue price of € 13.45, more specifically € 16,809,092.61 capital and € 21,191,125.14 issue premium, therefore, from today, the total share capital of Care Property Invest amounts to € 78,442,491.65. The capital is henceforth represented by 13,184,720 fully paid-up shares, of which 13,034,720 are ordinary shares and 150,000 special shares. There are no shares without voting right, and no convertible bonds or outstanding options or warrants issued that entitle their holder to shares. Each of these shares gives one voting right at the general shareholders' meeting of the Company and these shares represent the denominator for the purposes of notifications under the Transparency Law, (i.e. inter alia, notifications in case of reaching, exceeding or falling below statutory or legal thresholds). In addition to the legal thresholds, in accordance with article 18, §1 of the Transparency Law, the Articles of Association of Care Property Invest provide for an additional statutory threshold of 3%.
