PRESS RELEASE– Halle (Belgium) 23 December 2011 - Regulated information – Number of shares, capital and denominator

Capital, number of voting rights, number of shares, denominator: information according to article 15 of the law of May 2, 2007 on disclosure of major holdings.

The Extraordinary general meeting of shareholders of Etn. Fr. Colruyt NV dd. 13 October 2011 decided to carry out a capital increase reserved for the employees of the Colruyt Group.

The subscription period ran from 18 October 2011 up to and including 18 November 2011.

2.171 employees subscribed for 225.194 new shares (and as many VVPR strips) for an amount of 6.192.835,00 EUR.

Subscription price was 27,50 EUR per share.

The notarial deed to effectively lay down the capital increase was executed on 23 December 2011.

As a result of this transaction, the updated information about the shares and capital of Etn. Fr. Colruyt NV is as follows:

• Total capital: 239.096.264,58 EUR
• Number of shares carrying voting rights: 168.520.124
• Number of voting rights = (denominator): 168.520.124

There are no statutory thresholds. As a result the legal thresholds regarding 5% ownership apply.
