Summary of the notification

Pursuant to article 14 of the Law of 2 May 2007 on disclosure of major holdings, Colruyt Group and its controlling shareholder Korys, together with the Colruyt family and relatives, have submitted a notification to the FSMA.

This transparency notification dated 28 October 2024 shows that, by virtue of an acquisition of Colruyt Group shares by Korys NV, the shareholders acting in concert Korys, the Colruyt family and relatives, and Colruyt Group together have exceeded the notification threshold of 75%.

On 22 October 2024, the shareholders acting in concert Korys, the Colruyt family and relatives, and Colruyt Group together hold a total of 96.015.638 Colruyt Group shares which together represent 75,40% of the total number of shares issued by the company (127.348.890).

The company has no knowledge of other agreements between shareholders. The statutory thresholds per 5% bracket apply.

• Additional information:

Although Colruyt Group NV and its subsidiary CGMI BV are no party to the agreements to act in concert, those treasury shares are included given their capacity of subsidiaries of Korys NV (Art. 6, §5, 3° Transparency Law); Korys NV is indeed deemed to hold these shares indirectly.
