MONDO TV: Comunicazione di avvenuta variazione del capitale sociale
14 febbraio 2025 – Mondo TV S.p.A. comunica, ai sensi dell'art. 98 della delibera Consob n. 11971 del 14 maggio 1999 e successive modificazioni e dell'art. IA.2.3.4 delle Istruzioni Borsa Italiana S.p.A., la nuova composizione del capitale sociale interamente sottoscritto e versato, a seguito delle emissioni di nuove azioni in virtù delle conversioni operate da CLG Capital nell'ambito dell'accordo di investimento approvato dalla assemblea dei soci della Società come da comunicato stampa dell'11 dicembre 2023, cui si rinvia - con il quale CLG Capital si è impegnata a sottoscrivere, direttamente o tramite un soggetto eventualmente designato ai sensi del Contratto, in più tranches e solo a seguito di specifica richieste di sottoscrizione formulate dalla Società 60 bond convertibili in azioni per un valore di Euro 125.000 ciascuno (i "Bond").
A seguito delle conversioni di bond come da comunicati pubblicati in data 10 gennaio 2025, 28 gennaio 2025 e 5 febbraio 2025 sono state emesse nuove azioni ordinarie prive di valore nominale espresso, aventi godimento, diritti e caratteristiche pari a quelle in circolazione alla data della loro rispettiva emissione.
L'attestazione dell'avvenuta esecuzione dell'aumento di capitale sociale è stata evasa presso il Registro delle Imprese di Roma (ex articolo 2444 del Codice Civile) in data 14 febbraio gennaio 2025 ed il capitale sociale risulta così composto:

MONDO TV: Notification of Change of Company's capital
February 14, 2025 – Mondo TV S.p.A. announces, pursuant to Article 98 of CONSOB Resolution No. 11971 of May 14, 1999, and subsequent amendments, as well as Article IA.2.3.4 of the Borsa Italiana S.p.A. Instructions, the new composition of the fully subscribed and paid-up share capital, following the issuance of new shares as a result of the conversions made by CLG Capital under the investment agreement approved by the shareholders' meeting of the Company, as per the press release dated December 11, 2023, to which reference is made. Under this agreement, CLG Capital committed to subscribing, directly or through an entity potentially designated according to the Contract, in multiple tranches and only following specific subscription requests made by the Company, 60 convertible bonds into shares, each with a value of Euro 125,000 (the "Bonds").
Following the bond conversions as per the press releases published on January 10, 2025, January 28, 2025, and February 5, 2025, new ordinary shares with no expressed nominal value have been issued, having the same rights, benefits, and characteristics as those outstanding on the date of their respective issuance.
The certification of the completed capital increase was filed with the Rome Business Register (under Article 2444 of the Civil Code) on February 14, 2025, and the share capital is now composed as follows:
