Milan, 13 February 2025 – Further to the press release issued on 12 February 2025, as well as the notice of the Ordinary Shareholders' Meeting - convened on a single call for 28 February 2025 - published today, it is hereby announced that the Illustrative Report on item 1) on the agenda of the Shareholders' Meeting regarding "Authorizations, pursuant to art. 104, paragraph 1, of Legislative Decree. 58/1998, as subsequently amended and/or supplemented, to the Board of Directors of the Company to ensure that, in the context of the voluntary tender offer launched by the subsidiary Banco BPM Vita (the "Offer") on the ordinary shares of Anima Holding, Banco BPM Vita may: (i) increase the consideration offered from Euro 6.20 (cum dividend) to Euro 7.00 (cum dividend); (ii) exercise the right, if deemed appropriate, to waive in whole or in part one or more of the conditions of effectiveness of the Offer." is available to the public, in compliance with the legislation in force, at Banco BPM's registered office and on the website www.gruppo.bancobpm.it (Corporate Governance - Shareholders' Meetings Section), at Borsa Italiana S.p.A. and on the website of the authorized storage mechanism .
