Response to requisition of a General Meeting   

The Board of Schroder UK Mid Cap Fund plc (the "Company") acknowledges the requisition notice (the "Notice of Requisition") received from Vidacos Nominees Limited, in its capacity as nominee of Citibank N.A., London Branch (the "Custodian") pursuant to the instructions of the Custodian's client Jefferies LLC, a prime broker acting on behalf of Saba Capital Management, L.P., seeking to convene a General Meeting.

The Notice of Requisition proposes that shareholders of the Company be asked to consider and, if thought fit approve, the taking by the Company of all necessary steps to implement a scheme or process by which the shareholders of the Company would become (or have the option to become) shareholders of a UK-listed open-ended investment company (or similar open-ended investment vehicle) implementing a substantially similar strategy to the Company, which scheme or process could entail shareholders rolling into an existing or newly established UK open-ended investment company managed by the Company's existing investment manager.

The Board is considering with its advisers the validity of the proposal set out in the Notice of Requisition.

The Board recommends that shareholders take no action at this time and await a further announcement from the Company which will be made in due course.
