## **OZNÁMENIE VÝSLEDKOV DRUHÉHO KOLA PONUKOVÉHO OBDOBIA NOVO VYDANÝCH AKCIÍ A KONEČNÝCH VÝSLEDKOV PONUKY**

Spoločnosť Tatry mountain resorts, a.s., so sídlom Demänovská Dolina 72, 031 01 Liptovský Mikuláš, Slovenská republika, IČO: 31 560 636, zapísaná v obchodnom registri Okresného súdu v Žiline, oddiel: Sa, vložka číslo: 62/L, LEI: 315700YHD1JR6VB1BA90 (ďalej len **Emitent**) v súvislosti s verejnou ponukou až 6 315 790 novo vydaných kmeňových zaknihovaných akcií Emitenta vo forme na doručiteľa podľa slovenského práva, každá akcia s menovitou hodnotou 7 EUR na akciu, ISIN: SK1120010287 a s emisným kurzom 19 EUR na akciu (ďalej len **Ponúkané akcie**) v zmysle prospektu zo dňa 31. mája 2024 (ďalej len **Prospekt**) týmto

Druhé kolo Ponukového obdobia bolo v súlade s odsekom 7.1(b) Prospektu uzavreté dňa 4. júla 2024 o 16:00 (SELČ).

V rámci Druhého kola Ponukového obdobia boli akceptované objednávky celkom 35 investorov.

Celkový počet objednaných Ponúkaných akcií v Druhom kole Ponukového obdobia dosiahol 2 727 849, pričom na upísanie bolo k dispozícii 2 702 529 Ponúkaných akcií. Krátená bola len najväčšia objednávka, všetky ostatné boli akceptované v plnej výške.

V Druhom kole Ponukového obdobia teda boli upísané Ponúkané akcie v celkovej menovitej hodnote 18 917 703 EUR a výnos Druhého kola Ponukového obdobia je 51 348 051 EUR.

Najväčšiu objednávku v Druhom kole Ponukového obdobia podal fond JTFG FUND II SICAV, a.s., Česká republika, identifikačné číslo 21290334. Tento nový investor upísal 2 677 208 Ponúkaných akcií, čím po zaplatení emisného kurzu nadobúda podiel na základnom imaní a hlasovacích právach Emitenta približne vo výške 20,56 %.

## **NOTICE OF PRELIMINARY RESULTS OF THE OFFER PERIOD SECOND ROUND FOR THE NEWLY ISSUED SHARES AND OF THE FINAL OFFER RESULTS**

Tatry mountain resorts, a.s., with its registered office at Demänovská Dolina 72, 031 01 Liptovský Mikuláš, Slovak Republic, Identification No.: 31 560 636, registered in the Commercial Register of the District Court in Žilina, section: Sa, insert No.: 62/L, LEI: 315700YHD1JR6VB1BA90 (the **Issuer**), in connection with the public offer of up to 6,315,790 newly issued ordinary book-entry bearer shares of the Issuer under Slovak law, each with a nominal value of EUR 7 per share, ISIN: SK1120010287 and issue price EUR 19 per share (the **Offer Shares**) in accordance with the prospectus dated 31 May 2024 (the **Prospectus**), hereby

## **OZNAMUJE NASLEDOVNÉ NOTIFIES THE FOLLOWING**

In accordance with paragraph 7.1(b) of the Prospectus, the Offer Period Second Round was closed on 4 July 2024, at 16:00 (CEST).

Within the Offer Period Second Round, the orders from a total of 35 investors were accepted.

The total number of the Offer Shares ordered reached 2,727,849, while 2,702,529 Offer Shares were available for subscription. Only the largest order was reduced, all other orders were accepted in full.

Thus, in the Offer Period Second Round, the Offer Shares in the total nominal value of EUR 18,917,703 were subscribed and the proceeds of the Offer Period Second Round are EUR 51,348,051.

The largest order in the Offer Period Second Round was placed by the fund JTFG FUND II SICAV, a.s., Czech Republic, Identification No. 21290334. This new investor has subscribed 2,677,208 Offer Shares, resulting after the payment of the issue price in acquisition of approximately 20.56% of the Issuer's registered capital and voting rights.
