# O UPÍSANÍ AKCIÍ A SPLATENÍ EMISNÉHO KURZU UPÍSANÝCH AKCIÍ PRI ZVÝŠENÍ ZÁKLADNÉHO IMANIA

## O VÝŠKE ZÁKLADNÉHO IMANIA

Dňa 29. mája 2024 predstavenstvo spoločnosti Tatry mountain resorts, a.s., so sídlom Demänovská Dolina 72, 031 01 Liptovský Mikuláš, IČO: 31 560 636, zapísaná v obchodnom registri vedenom Okresným súdom Žilina, oddiel Sa, vložka č. 62/L (ďalej len Spoločnosť), na základe poverenia udeleného valným zhromaždením Spoločnosti konaného dňa 17. mája 2024 rozhodlo o zvýšení základného imanie Spoločnosti z doterajšej výšky 46.950.386,- EUR najviac o sumu 44.210.530,- EUR (slovom: štyridsaťštyri miliónov dvestodesaťtisíc päťsto tridsať eur) na konečnú výšku základného imania Spoločnosti 91.160.916 - EUR (slovom: deväťdesiatjeden miliónov stošesťdesiattisíc deväťsto šestnásť eur) (ďalej len Rozhodnutie predstavenstva), a to vydaním a upísaním najviac 6.315.790 (slovom: šesť miliónov tristopätnásťtisíc sedemsto deväťdesiať) kusov nových kmeňových akcií na doručiteľa v zaknihovanej podobe s menovitou hodnotou každej jednej akcie vo výške 7 EUR (slovom: sedem eur), pri emisnom kurze vo výške 19 - EUR (slovom: devätnásť eur) na jednu akciu (ďalej len Nové Akcie).

V zmysle Rozhodnutia predstavenstva:

- (a) § 204a Obchodného zákonníka bol deň 3. jún 2024;
- (b) akcionári Spoločnosti mohli upísať Nové Akcie prostredníctvom uplatnenia práva podľa § 204a Obchodného zákonníka v lehote 14 (slovom: štrnástich) kalendárnych dní začínajúcich od 10. júna 2024 (vrátane) do 24. júna 2024 16:00 SELČ (daalej len Prvé kolo ponuky); a
- (c) Nové Akcie, ktoré neboli upísané v rámci (c) Prvého kola ponuky predstavenstvo

### BOARD OF DIRECTORS' CONFIRMATION ON THE SUBSCRIPTION AND PAYMENT OF THE ISSUE PRICE OF THE SUBSCRIBED SHARES IN COURSE OF INCREASING THE SHARE CAPITAL

### AND

### ON THE AMOUNT OF THE SHARE CAPITAL

On 29 May 2024 the Board of Directors of Tatry mountain resorts, a.s., with its registered office at Demänovská Dolina 72, 031 01 Liptovský Mikuláš, Identification No. (ICO): 31 560 636, registered in the Commercial Register of the District Court in Zilina, Section Sa, Insert No. 62/L (the Company), based on the authorization granted by the General Meeting of the Company held on 17 May 2024 decided to increase the Company's share capital from the current amount of EUR 46,950,386, by a maximum of EUR 44,210,530 (in words: forty-four million two hundred and fifty thousand five hundred and thirty euros) to the final amount of EUR 91,160,916 (in words: ninety-one million one hundred and sixty thousand nine hundred and sixteen euros) (the Board Resolution), by issuing and subscribing to a maximum of 6,315,790 (in words: six million three hundred and fifteen thousand seven hundred and ninety) new ordinary bearer shares in book-entry form, each with a nominal value of EUR 7 (in words: seven euros) at an issue price of EUR 19 (in words: nineteen euros) per each share (the New Shares).

Under the Board Resolution:

- the record date under Section 204(a) of the (a) Commercial Code was 3 June 2024;
- the Company's shareholders could (b) subscribe for the New Shares by exercising their priority right under Section 204(a) of the Commercial Code within a period of 14 (in words: fourteen) calendar days as of (and including) 10 June 2024 until (and including) 24 June 2024 4:00 p.m. CET (the First Offer Round); and
	- New Shares not subscribed for in the First Offer Round shall be offered for

Spoločnosti ponúklo na upísanie v lehote začínajúcej 25. júna 2024 (vrátane) do 4. júla 2024 16:00 SELČ alebo do okamihu, keď celkové prijaté upísanie dosiahne celkový emisný kurz všetkých Nových Akcií, podľa toho, čo nastane skôr (d'alej len Druhé kolo ponuky).

Predstavenstvo Spoločnosti týmto potvrdzuje nasledovné:

- (a) v rámci Prvého kola ponuky boli upísané Nové akcie v počte 3.613.261 kusov v celkovej menovitej hodnote 25.292.827 EUR a emisný kurz bol splatený vo výške 68.651.959 EUR;
- (b) v rámci Druhého kola ponuky boli upísané (b) Nové akcie v počte 2.702.849 kusov v celkovej menovitej hodnote 18.919.943,- EUR a emisný kurz bol splatený vo výške 51.348.051,- EUR;
- (c) Nové akcie boli upísané v počte 6.315.790 (c) kusov v celkovej menovitej hodnote 44.210.530 EUR a emisný kurz upísaných Nových akcií bol splatený v celkovej výške 120.000.010 EUR, a teda predstavenstvo Spoločmosti potvrdzuje, že Spoločnosť zvýšila základné imanie o 44.210.530 EUR a to vydaním a upísaním 6.315.790 (slovom: šesť miliónov tristopätnásťtisíc sedemsto deväťdesiat) kusov nových kmeňových akcií na doručiteľa v zaknihovanej podobe s menovitou hodnotou každej jednej akcie vo výške 7,- EUR (slovom: sedem eur);
- (d) základné imanie Spoločnosti po zvýšení (d) základného imania na základe Rozhodnutia predstavenstva je vo výške 91.160.916 EUR deväť desiatjeden miliónov (slovom: stošesť desiattisíc deväť sto šestnásť eur), v rozsahu splatenia 91.160.916 EUR (slovom: deväťdesiatjeden miliónov stošesť desiattisíc devaťsto šestnásť eur), počet kusov akcií: 13.022.988 (slovom: trinásť miliónov dvadsať dvatisíc deväť stoosemdesiatosem), druh akcií: kmeňové, podoba: zaknihované, forma: akcie na doručiteľa, menovitá hodnota jednej akcie: 7,- EUR (slovom: sedem eur).

subscription by the Board of Directors of the Company during the period commencing on 25 June 2024 (inclusive) until 4 July 2024 4:00 p.m. CET, or until the time when the aggregate subscription received reaches the aggregate issue price of all New Shares, whichever occurs earlier (the Second Offer Round).

The Board of Directors of the Company hereby confirms the following:

- (a) during the First Offer Round, 3,613,261 New Shares with a total nominal value of EUR 25,292,827.00 were subscribed for and the issue price was paid in the amount of EUR 68,651,959;
	- during the Second Offer Round, 2,702,849 New Shares with a total nominal value of EUR 18,919,943 were subscribed for and the issue price was paid in the amount of EUR 51,348,051;
	- the New Shares were subscribed for in the amount of 6,315,790 individual shares with a total nominal value of EUR 44,210,530, and the issue price of the subscribed New Shares was paid in the total amount of EUR 120,000,010, confirming that the Company increased its share capital by EUR 44,210,530 by issuing and subscribing for 6,315,790 (in words: six million three hundred and fifteen thousand seven hundred and ninety) new ordinary shares in book-entry form with a nominal value of EUR 7 (in words: seven euros) for each individual share.
	- The share capital of the Company, after the increase of the share capital on the basis of the Board Resolution, is EUR 91,160,916 (in words: ninety-one million one hundred and sixty thousand nine hundred and sixteen euros), fully paid-up in the extent of EUR 91,160,916 (in words: ninety-one million one hundred and sixty thousand nine hundred and sixteen euros), number of individual shares: 13,022,988 (in words: thirteen million twenty-two thousand nine hundred eighty-eight) class of shares: ordinary, form: book-entry bearer shares, nominal value of one share: EUR 7 (in words: seven euros).
- (e) Všetky Nové Akcie boli vydané ako navýšenie (e) existujúcej emisie pod ISIN: SK1120010287 a boli prijaté na obchodovanie na nasledujúcich regulovaných trhoch:
	- (i) Burza cenných papierov v Bratislave (BSSE) – Kótovaný paralelný trh:
	- (ii) Burza cenných papírů Praha (PSE) -Hlavný trh (Prime Market); a
	- (iii) Varšavská burza (GPW) - Hlavný trh.
- (f) Pre účel oznamovacej povinnosti podľa § 44 (f) ods. 2 zákona č. 429/2002 Z. z. o burze cenných papierov, predstavenstvo Spoločnosti vyhlasuje že:
	- počet hlasov akcionára sa určuje (i) pomerom menovitej hodnoty jeho akcií k výške základného imania, pričom na každých 7 EUR (slovom: sedem eur) menovitej hodnoty jeho akcií pripadá jeden hlas; a
	- (ii) lhodnota základného imania Spoločnosti je vo výške 91.160.916 EUR (slovom: deväťdesiatjeden miliónov stošesť desiattisíc deväťsto šestnásť eur), v rozsahu splatenia 91.160.916 EUR (slovom: deväť desiatjeden miliónov stošesťdesiattisíc deväťsto šestnásť eur), počet kusov akcií: 13.022.988 (slovom: trinásť miliónov dvadsať dvatisíc deväťstoosemdesiatosem) druh akcií: kmeňové, podoba: zaknihované, forma: akcie na doručiteľa, menovitá hodnota jednej akcie: 7,- EUR (slovom: sedem eur).

Toto potvrdenie bolo pripravené v bilingválnej podobe v slovenskom a anglickom jazyku. V prípade nezrovnalostí medzi slovenskou a anglickou verziou tohto dokumentu má prednosť slovenská jazyková verzia.

- All New Shares have been issued within the increase of the existing emission of shares under ISIN: SK1120010287 and accepted for trading on the following regulated markets:
	- (i) Bratislava Stock Exchange (BSSE) - Listed parallel market;
	- (ii) Prague Stock Exchange (PSE) -Main Market (Prime Market); and
	- (iii) Warsaw Stock Exchange (WSE) -Main Market.
- For the purposes of the notification obligation pursuant to Section 44(2) of Act No. 429/2002 Coll. on the Stock Exchange, the Board of Directors hereby declare that
	- the number of votes of a shareholder (i) shall be determined by the ratio of the nominal value of its shares to the amount of the share capital, with one vote for every EUR 7.00 (in words: seven euros) of the nominal value of its shares; and
	- (ii) The amount of the registered share capital of the Company is EUR 91.160.916 (in words: ninetv-one million one hundred and sixty thousand nine hundred and sixteen euros), fully paid-up in the extent of EUR 91.160,916 (in words: ninety-one million one hundred and sixty thousand nine hundred and sixteen euros), number of individual shares: 13.022.988 (in words: million thirteen twenty-two thousand nine hundred eightyeight) class of shares: ordinary, form: book-entry bearer shares, nominal value of one share: EUR 7 (in words: seven euros).

This confirmation was prepared in a bilingual form in Slovak and English language. In case of any discrepancies between the Slovak and English version of this document, the Slovak language version shall prevail.
