Following the expiration on 19.01.2022 of the period of exercising the preemptive rights by the shareholders registered in the Shareholders Register on the registration date 03.11.2021, within the share capital increase operation of Patria Bank S.A., approved by EGMS Decision no. 1 / 18.10.2021, operation carried out in accordance with the Proportionated Offering Prospectus approved by ASF Decision no. 1587 / 15.12.2021, in the meeting dated 20.01.2022 the Board of Directors of Patria Bank SA ascertained the following:

• A total number of 163,483,801 new shares, at a price of 0.1 lei per share, were subscribed by exercising the preemptive rights;
• The total amount resulting from the subscription is 16,348,380.10 lei, which was subscribed as follows:
• o The value of 14,847,300 lei resulted from the exercise of preemptive rights corresponding to the conversion of the amount of EUR 3 million (at the NBR exchange rate of RON 4.9491 / EUR valid on the date of subscription), representing the subordinated loan granted to the Bank by the majority shareholder of the Bank - EEAF Financial Services BV, through the subordinated loan agreement dated 18.12.2018.
• o The value of 1,501,080.10 lei resulted from the exercise of the preemptive rights by the cash subscription of the shareholders of the Bank registered in the Shareholders Register on 03.11.2021.

The shares remaining unsubscribed following the exercise of the preemptive rights, respectively a number of 33,816,199 shares, were canceled.

Therefore, the share capital of the Bank is increased by the amount of 16,348,380.10 lei, from 311,533,057.50 lei to 327,881,437.60 lei.

From the total number of 163,483,801 Patria Bank shares subscribed between 20.12.2021 - 19.01.2022:

• a number of 148,478,821 shares amounting to 14,847,882.10 lei were subscribed between 20.12.2021 31.12.2021, respectively:
• o 5,821 shares amounting to 582.10 lei by cash contributions
• o 148,473,000 new shares, amounting to 14,847,300.00 lei through the conversion of the subordinated loan amounting to EUR 3 million granted by EEAF Financial Services BV
• a number of 15,004,980 shares amounting to 1,500,498.00 lei were subscribed between 01.01.2022 19.01.2022, all of which were subscribed by cash contribution.

Further on, the Bank will take the necessary steps to further register the share capital increase operation at the Trade Register Office.
