IMPORTANT EVENT TO REPORT: CONCLUSION OF COMMERCIAL CONTRACTS FOR CONSTRUCTION AND DELIVERY OF THE RIVER SHIPS AND COMPLETION OF THE CURRENT REPORT FROM JUNE 03, 2021

ORSOVA SHIPYARD S.A., in accordance with the provisions of art.234 par. (1) letter (i) of the FSA Regulation no. 5/2018, informs the shareholders and all those interested on the fact that the company has concluded a number of 2 external contracts for two river vessels construction, in connection with which the following clarifications are made:

• Nature acts concluded: commercial contracts with intra-Community delivery;
• Closing date: 08.06.2021, respectively 09.06.2021;
• Buyer: Rensen-Driessen Shipbuilding B.V. (Netherlands), respectively TEAMCO Shipyard B.V. (Netherlands);
• Object contracts: commercial contracts for the construction and delivery of river vessels;
• The total value of the contracts: 5.222.000 EURO;
• Delivery terms: 31.07.2022, respectively 31.03.2022, CIP Rotterdam;
• Terms and conditions of payment: an advance payment, based on a letter of guarantee refund of the advance payment and the remaining payment: based on documentary letter of credit, payable after arrival at the place of delivery.

In addition to the information contained in the current Report dated 03.06.2021 by which we informed investors about the conclusion of 2 commercial contracts for construction of river vessels with intra-community delivery, for a correct information of those interested, we make the following additional clarifications:

• o The respective report was prepared in accordance with the provisions of art. 234 paragraph (1) letter (i). of the FSA Regulation no. 5/2018;
• o The 2 contracts were validated and registered at the issuer's headquarters on 02.06.2021;
• o The buyer of the 2 ships is the Dutch company Rensen-Driessen B.V .;
• o The delivery term for the 2 ships is 30.11.2021, respectively 31.01.2022, CIP Rotterdam;
