Important event to report: Changes in the Directorate membership

The National Power Grid Company Transelectrica SA informs the shareholders and the investors that at the meeting on 21 December 2018, the Supervisory Board of the National Power Grid Company Transelectrica SA decided the following:

• the following shall be revoked as members of the Directorate, since 21 December 2018: Adrian-Constantin RUSU, Andreea-Georgiana FLOREA, Viorel VASIU și Adrian-Mircea TEODORESCU;
• under art. 64² para. (1) of GEO 109/2011 on corporate governance of public enterprises, with later amendments and additions, the following persons shall be appointed as provisional members of the Directorate, since 21 December 2018:
• Marius-Dănuț CARAȘOL
• Andreea-Georgiana FLOREA
• Constantin SARAGEA
• Claudia-Gina ANASTASE
• Adrian SAVU

The mandate of the new Directorate members is granted for 4 months since 21 December 2018, with possible extension, on solid grounds, for two more months. But the mandate term will not exceed the ending date of the selection procedure for Directorate members of the National Power Grid Company Transelectrica SA according to the provisions of OUG 109/2011, if the procedure is completed within this interval.

The appointment of the Directorate members has become effective since 21 December 2018, on the signing date before the notary public of the mandate acceptance statement as member in the Directorate of the National Power Grid Company Transelectrica SA; except for Adrian SAVU, whose appointment will become effective on the signing date before the notary public of the mandate acceptance statement as member in the Directorate of the National Power Grid Company Transelectrica SA.

In accordance with the provisions of article 18 para. (4) from the Articles of association of the National Power Grid Company Transelectrica SA, the Supervisory Board appoints Marius-Dănuț CARAȘOL as Directorate Chairman (alternatively called the Company's Executive Director General or Chief Executive Officer – CEO) of the National Power Grid Company Transelectrica SA, beginning with 21 December 2018.
