Suspension of the voting right for EGSM of S.I.F. Oltenia S.A. convened for 14 / 15.07.2020
Taking into account the ASF Decision no. 820/08.07.2020 regarding the presumption of acting in concert of the shareholders group formed of S.I.F. BANAT CRIȘANA S.A., S.I.F. MUNTENIA S.A., Mr. STRĂUȚ RADU RĂZVAN and Mrs. MIHĂILESCU TEODORA DORINA, a group holding 5.000002% of the share capital of S.I.F. Oltenia S.A. thus exceeding the 5% limit provided by art. 2861 (1) of the Law no. 297/2004 regarding the capital market, as subsequently amended and supplemented,
The Senior Management of S.I.F. Oltenia S.A. ordered the implementation of ASF Decision no. 820/08.07.2020, by suspending "pro rata" the voting rights held by the shareholders of the groups mentioned in the ASF decisions.
The number of shares with "pro rata" suspended voting right for the group formed of S.I.F. BANAT CRIȘANA S.A., S.I.F. MUNTENIA S.A., Mr. STRĂUȚ RADU RĂZVAN and Mrs. MIHĂILESCU TEODORA DORINA is of 11 shares, representing 0.000002% of the share capital of S.I.F. Oltenia S.A.
The list of shareholders with "pro rata" suspended voting right can be seen on the S.I.F. Oltenia S.A. website, www.sifolt.ro, section Investors Information (subsections: Holding Statements, Continuous reporting and General Meetings).

MIHAILESCU TEODORA DORINA are o detinere cumulata de . 29.008.297 actiuni SIPS reprezentand ,5,000002% din capitalul social al SIP OLTENIA SA, depasind astfel !Unita de detinere de 5% din capitalul social prevazuta de art. 2861alin. In baza prevederilor art. 286' din Legea nr. 297/2004 privind piata de capital, cu modifickile si completarile ulterioare si ale Instructiunii C.N.V.M. nr. 6/2012 ernisa in aplicarea prevederilor art. 286' din Legea nr. 297/2004 privind plata de capital,
In baza hotararii adoptate in sedinta din data de .07.2020, Consiliul Autoritatii de Supraveghere Financiara a decis emiterea urmatorului act individual:
DECIZIE
Art. I. Conducerea S.I.F. OLTENIA S.A. are obligatia sa adopte masurile necesare in cadrul AGEA convocata pentru data de 14/15.07.2020, astfel incat grupul format din actionarii: ST BANAT CRISANA SA, SIP MUNTENIA SA, dl. STRAUT RADU RAZVAN si dna. MIHAILESCU TEODORA, prezumat ca actioneaza in mod concertat in legatura cu emitentul S.I.F. OLTENIA S.A., sã nu poata exercita drepturile de vot aferente pozitiei detinute cu nerespectarea art. 2861aim. (1) din Legea nr. 297/2004 cu modificarile si completarile ulterioare.
Art. 2. Prezenta decizie intra in vigoare la data emiterii, va fi publicata" in Buletinul A.S.F., pe site-ul www.asfromania.ro, va fi comunicata S.I.F. OLTENIA S.A. si se va transmite la operatorul de plata in vederea informaril corespunzatoare a investitorilor.
