COMMUNIQUÉ WITH RESPECT TO RESTITUTING THE TAX ON THE 2015-2016 DIVIDENDS OF THE INVESTMENT FUNDS WITHOUT LEGAL PERSONALITY

CNTEE TRANSELECTRICA SA (TEL) requested the competent authorities clarifications in accordance with the provisions of the Fiscal Code about the fiscal regime applicable to dividends paid to open investment funds (FDI) constituted as per Law 297/2004 on the capital market, with later amendments and additions and from the correspondence exchanged we can inform you on 04.09.2017 the Directorate of CNTEE TRANSELECTRICA SA approved returning the calculated & withheld tax transferred to the state budget for the dividends paid to investment funds without legal personality, associated to the 2015-2016 dividends.

Taking into account on the payment date of dividends from 2015-2016 financial years to the shareholders recorded in the Shareholders' Register of TEL on the registration dates 07.06.2016 and 07.06.2017 the dividend tax was withheld by applying 5% quota on the gross dividend, we can inform you steps will be taken as of today in order to return the tax withheld from investment fund beneficiaries without legal personality.

CNTEE TRANSELECTRICA SA is requesting the Participants/Investment Administration Companies/FDI to transmit by 22.09.2017 an affidavit signed by the legal representative/person mandated to represent the investment fund without legal personality in order to return the tax withheld on the 2015-2016 dividends distributed to investment funds without legal personality, which document should include the following information:

• The type of the investment fund- closed/open
• The absence of legal personality
• The ID data of the fund (single ID/registration code), as shown in the Shareholders' Register of TEL kept by the Central Depositary and the full name of the investment fund
• Registration number in the Register of Financial Instruments and Investments

CNTEE Transelectrica reserves the right to ask for additional documents to the above list in view of identifying the investment funds without legal personality.
