According to the legal provisions of art. 113 of FSA Regulation no. 1/2006 on issuers and operations with securities and considering the convening of Banca Comerciala Carpatica's Management Board meeting for 17 May 2016 10:30 AM, transmitted to FSA and BSE via the market report no. 8871/ 09 May 2016, we present herewith attached the Decision no. 50/17.05.2016 issued by the Management Board of Banca Comerciala Carpatica S.A., approving the modification of the bank's registered office and of the bank's actual office.

DECISION NO. 50 issued by the Management Board of Banca Comerciala Carpatica S.A., related to the approval of the modification of the bank's registered office and of the bank's actual office

The Management Board met in his session dated 17.05.2015, taking into consideration the points of the Convocation's agenda of the Management Board meeting established for 17.05.2016, 10.30 a.m, regarding the relocation of the bank's registered office and of the bank's actual office,

DECIDES

Art. 1. The relocation of the bank's registered office from Sibiu, 1 Autogarii street, Sibiu county, in Bucharest, 1st district, 31 actor Brezoianu Ion street, 1st, 2nd floors and attic.

Art. 2. The modification of art. 2 - Registered office and secondary offices, art. 2.1. of the bank's Articles of Association, with the following content:

"2.1. The registered office and actual office of the Bank is in Bucharest, Sector 1, 31 Actor Brezoianu Ion, 1st, 2nd floor and attic."

Art. 3. The registration of Banca Comerciala Carpatica SA at the Trade Register of Bucharest Tribunal and the removal of Banca Comerciala Carpatica SA from the Trade Register of Sibiu Tribunal.

Art. 4. The empowerment of the following persons for accomplishing of all needed formalities, for carrying on of the present Decision at the Trade Register Office, making any kind of requests and raising inscriptions, their signatures being opposable for us:

• 1. Mrs. Nicolescu Tanta in her position of legal counsel, CNP 2741006364222, identified with IC series RX no. 564349, issued by SPCEP,,5 , at 01.09.2014, resident in Mun. Bucuresti, sect. 5, str. Domnita Anastasia, nr. 13, bl. 7, sc. 1, et. 6, ap. 29 – is empowered for carrying on the nedeed formalities for the registration of Banca Comerciala Carpatica SA at the Trade Register of Bucharest Tribunal.
• 1. Mr. Batog Stefan in her position of legal counsel, CNP 2741006364222, identified with IC series RX no. 564349, issued by SPCEP,,5 , at 01.09.2014, resident in Mun. Bucuresti, sect. 5, str. Domnita Anastasia, nr. 13, bl. 7, sc. 1, et. 6, ap. 29 – is empowered for carrying on the nedeed formalities for the removal of Banca Comerciala Carpatica SA from the Trade Register of Sibiu Tribunal.
