Reported event – action for annulment of the General Assembly Decision of 16 October 2017

The National Power Grid Company "Transelectrica" SA hereby informs the shareholders and investors that the case file no. 39867/3/2017 involving "action for annulment of the General Assembly Decision no. 11 of 16 October 2017" is referred for resolution on the docket of the Bucharest Court – Section VI Civil.

By means of the application, the claimant, Mr. Sebastian BODU, seeks the issuing of a presiding judge's order against CNTEE Transelectrica S.A., suspending the General Assembly Decision no. 11 from 16 October 2017 until the final judgement of the action for annulment under statutory law. The aforementioned General Assembly Decision was also contested with action for annulment on the grounds of unlawfulness, according to Mr. Sebastian BODU, but as of now the company is yet to be informed as the action is under the preliminary procedure for reconciliation of the application.

At the hearing from 27 October 2017, the court ruled, of its own motion, the postponement of the judgement of the case until 10 November 2017, since it failed to inform Mr. Sebastian BODU regarding the obligation to pay the legal stamp duty amounting to 20 lei.

In the event that the claimant's application is admitted, the presiding judge's order is binding pursuant to Art. 997(2) of the Civil Procedure Code, with the consequence that the effects of the General Assembly Decision no. 11 of 16 October 2017 will be suspended. In this case, CNTEE Transelectrica SA may lodge an appeal within 5 days from judgement and request suspension of the enforcement until the judgement of the appeal, only by paying a bond.

If the appeal is rejected, the effects of the General Assembly Decision will be suspended until the final judgement of the case file involving action for annulment under statutory law.
