OFFERTA PUBBLICA DI SCAMBIO PROMOSSA DA BPER BANCA S.P.A. SULLA TOTALITA' DELLE AZIONI DI BANCA POPOLARE DI SONDRIO S.P.A.
Sondrio, 7 febbraio 2025. Banca Popolare di Sondrio (la "Banca"), preso atto della comunicazione ai sensi dell'art. 102 del TUF da parte di BPER Banca avente per oggetto un'Offerta Pubblica di Scambio Volontaria Totalitaria (l'"Offerta") sulle azioni di Banca Popolare di Sondrio, precisa che l'Offerta non è stata in alcun modo sollecitata, né preventivamente concordata.
Banca Popolare di Sondrio ha convocato per martedì 11 febbraio p.v. il Consiglio di Amministrazione per avviare le attività di propria competenza nell'interesse di tutti gli azionisti e gli stakeholder della Banca.

PUBLIC EXCHANGE OFFER PROMOTED BY BPER BANCA S.P.A. ON ALL THE SHARES OF BANCA POPOLARE DI SONDRIO S.P.A.
Sondrio, 7 February 2025. Banca Popolare di Sondrio (the "Bank"), having taken note of the communication pursuant to article 102 of the TUF by BPER Banca concerning a Voluntary Total Public Exchange Offer (the "Offer") on the shares of Banca Popolare di Sondrio, specifies that the Offer has not been solicited in any way, nor previously agreed upon.
Banca Popolare di Sondrio has convened the Board of Directors' meeting for Tuesday, February 11, 2025, in order to start the activities within its competence in the interest of all shareholders and stakeholders of the Bank.
