AFEP-MEDEF RECOMMENDATIONS

During its meeting held on December 19, 2008, the Board of Directors reviewed the AFEP-MEDEF recommendations dated October 6, 2008 concerning compensation for executive officers of French listed companies.

The Board concludes that these recommendations are consistent with the corporate governance principles of CGGVeritas.

After deliberation, the Board decided that, starting with fiscal year 2008, the AFEP-MEDEF code of corporate governance as amended by these recommendations will be the basis for the preparation of the report required by Article L. 225-37 of the French commercial code, in accordance with the Act of July 3, 2008.
