Neoen (ISIN: FR0011675362, Ticker: NEOEN), France's leading independent producer of renewable energy, and one of the fastest-growing worldwide, is making the preparatory documents for its combined general meeting on June 28th , 2019 available to its shareholders.

Neoen's shareholders are invited to attend the combined (ordinary and extraordinary) general meeting to be held at 2pm on June 28th, 2019 at the Cloud Business Center – 10bis, rue du 4 septembre – 75002 Paris.

The notice of meeting including the agenda and draft resolutions was published in the Bulletin des Annonces Légales Obligatoires (BALO, French Bulletin of Mandatory Legal Announcements, www.journal-officiel.gouv.fr/balo) no. 61 of May 22nd, 2019, and may be viewed on Neoen's website (www.neoen.com, "Investors" section, "General Meetings" tab). The notice of meeting will be published in the BALO and in a journal of legal announcements on June 12th, 2019 and will also be available on Neoen's website.

The documents and information concerning the general meeting will be made available to shareholders in line with the regulations in force.

In accordance with Article R. 225-73-1 of the French Commercial Code, shareholders may view the preparatory information documents for the general meeting on Neoen's website. Most of these documents are contained in the 2018 registration document, which was filed with the Autorité des Marchés Financiers on June 5 th , 2018 under no. R. 19-021.

Pursuant to the applicable regulatory requirements:

• all registered shareholders may, up to the fifth day inclusive prior to the general meeting, ask the Company to send them these documents. Holders of bearer shares may exercise the same right by providing a certificate documenting their holding in the bearer share accounts kept by their authorized intermediary
• all shareholders may view them at the Company's registered office at 6 rue Ménars, 75002 Paris, during the two-week period prior to the date of the general meeting.
