Saipem: rinnovo tacito del patto parasociale tra gli azionisti Eni S.p.A. e CDP Equity S.p.A.

Milano, 22 gennaio 2025 – Si informa che, in data odierna, gli azionisti Eni S.p.A. e CDP Equity S.p.A. hanno comunicato a Saipem S.p.A. ("Saipem" o la "Società") l'avvenuto rinnovo tacito, per un ulteriore periodo di tre anni, del patto parasociale stipulato in data 20 gennaio 2022, avente a oggetto una partecipazione complessiva pari a circa il 25,006% del capitale sociale ordinario della Società e rilevante ai sensi dell'art. 122, commi 1 e 5, lettere a), b) e d), del TUF (il "Patto Parasociale").

Si ricorda che il Patto Parasociale prevedeva una durata di tre anni dalla data di efficacia (i.e. 22 gennaio 2022), con rinnovo tacito alla data di scadenza (i.e. 22 gennaio 2025) esclusivamente per un ulteriore periodo di tre anni, salvo disdetta da parte di una delle parti con un preavviso di almeno sei mesi. Essendo scaduto il predetto termine in assenza di disdetta, il Patto Parasociale si è automaticamente rinnovato per un ulteriore triennio (i.e. fino al 22 gennaio 2028).

Saipem: tacit renewal of the shareholders' agreement between Eni S.p.A. and CDP Equity S.p.A.

Milan, January 22, 2025 – Today, the shareholders Eni S.p.A. and CDP Equity S.p.A. informed Saipem S.p.A. ("Saipem" or the "Company") of the tacit renewal, for a further three-year period, of the shareholders' agreement signed on January 20, 2022, concerning a total shareholding approximately equal to 25.006% of the Company's ordinary share capital and considered relevant under Article 122, paragraphs 1 and 5, letters (a), (b) and (d) of Italian Legislative Decree 58/98 (the "Shareholders' Agreement").

It is recalled that the Shareholders' Agreement had a three-year duration from the effective date (i.e., January 22, 2022) with tacit renewal upon expiry (i.e., January 22, 2025) exclusively for an additional three-year period, unless terminated by either party with at least six months' notice. Since the aforementioned term has expired without any notice of termination, the Shareholders' Agreement was automatically renewed for an additional three-year period (i.e., until January 22, 2028).
