CLS Holdings plc ("the Company")

Transfer of Treasury Shares to EBT and Total Voting Rights

The Company announces that in connection with the operation of the Company's employee share plans, 700,474 ordinary shares of 2.5 pence each in the Company ("Ordinary Shares") have today been transferred from Treasury to the CLS Holdings plc Employee Benefit Trust.

Following the above transaction, the Company now has 438,777,780 Ordinary Shares in issue, of which 40,667,038 Ordinary Shares are currently held by the Company as treasury shares.

Therefore, the total number of Ordinary Shares in issue excluding treasury shares and also the total number of voting rights in the Company is 398,110,742.
