having the right to attend and to exercise the right to vote at the noteholders’ meeting of AS PRFoods (registry code 11560713, registered address at Pärnu mnt 141, 11314 Tallinn, Estonia; “PRFoods”) notes due 22 January 2025 and bearing ISIN code EE3300001577 (the “Notes”), issued under the Terms and Conditions of Secured Note Issue of AS PRFoods dated 14 January 2020 (as most recently amended on 20 September 2022; the “Terms”), to be held on 17 January 2025 (the “Meeting”), hereby appoints:		kellel on õigus osaleda ja teostada temale kuuluvat hääleõigust võlakirjade mille lunastustähtaeg on 22. jaanuar 2025, ja millele on omistatud ISIN-kood EE3300001577 („Võlakirjad“), mis on emiteeritud AS PRFoods (registrikood 11560713, aadress Pärnu mnt 141, 11314 Tallinn , Eesti; „PRFoods“) 14. jaanuari 2020 (mida on viimati muudetud 20. septembril 2022) tagatud võlakirjade emissiooni tingimuste („Tingimused“) alusel, omanike koosolekul, mis toimub 17.01.2025 („Koosolek“), volitab käesolevaga:

| to attend and represent the Noteholder at the Meeting and to vote:
(i) at their own discretion on procedural matters to be decided at the Meeting; and
(ii) [at its (or their) own discretion in favour or against / in favour of / against] the decision: (a) to consent to the postponement of the Maturity Date of the Notes (as defined in the Terms and the Final Terms), currently scheduled to be 22 January 2025, and to set the new Maturity Date of the Notes for 31 March 2025, to consent to the extending of the current interest period and accordingly to the postponement of the next Interest Payment Date (as defined in the Terms and the Final Terms), currently scheduled to be 22 January 2025, and to set the new Interest Payment Date for 31 March 2025, and to agree that the non-redemption of the Notes on the original Maturity Date (22 January 2025) and non-payment by PRFoods of the Interest on the initial Interest Payment Date (22 January 2025) shall not constitute a breach of the Terms or the Final Terms by PRFoods or the occurrence of an Extraordinary Early Redemption Event (as defined in the Terms), and to authorize PRFoods to amend, enter into, confirm and submit all necessary documentation and instruments, including the Final Terms of the Notes, that are necessary to reflect the amended Maturity Date (31 March 2025) and the new Interest Payment Date (31 March 2025); and
(iii) [at its (or their) own discretion in favour or against / in favour of / against] the decision (b) to amend the Terms, by supplementing the Terms with regulation for written voting procedure and to amend the relevant clauses of the Terms in connection with the inclusion of the written voting procedure, and to approve the new version of the Terms in the redaction including the relevant amendments, in the form set out in Annex 2 to the PRFoods market announcement. | | osalema ja esindama Võlakirjaomanikku Koosolekul ja hääletama:
(i) omal äranägemisel Koosolekul hääletamisele tulevate protseduuriliste küsimuste osas; ja
(ii) [omal äranägemisel poolt või vastu / poolt / vastu] otsusele: (a) nõustuda Võlakirjade Lunastamistähtaja (inglise keeles: Maturity Date, nagu defineeritud Tingimustes ja Lõplikes Tingimustes), milleks on 22.01.2025, edasilükkamisega ja kinnitada Võlakirjade uueks Lunastamistähtajaks 31.03.2025, nõustuda Võlakirjade jooksva intressiperioodi pikendamisega ning vastavalt järgmise Intressimaksepäeva (inglise keeles: Interest Payment Date, nagu defineeritud Tingimustes ja Lõplikes Tingimustes), milleks on 22.01.2025, edasilükkamisega ja kinnitada järgmise intressimaksepäevana 31.03.2025, ning nõustuda, et Võlakirjade mittelunastamist algsel Lunastamistähtpäeval (22.01.2025) ning intressi mittemaksmist algselt ette nähtud Intressimaksepäeval (22.01.2025) ei loeta PRFoods poolt Tingimuste või Lõplikke Tingimuste rikkumiseks ega Erakorralise Ennetähtaegse Lunastamise Sündmuse (inglise keeles: Extraordinary Early Redemption Event; nagu defineeritud Tingimustes) toimumiseks, samuti volitada PRFoods’i muutma, sõlmima, kinnitama ja esitama kõiki vajalikke dokumente ja instrumente, sealhulgas Võlakirjade Lõplikke Tingimusi (inglise keeles: Final Terms), mis on vajalikud Võlakirjade uue Lunastamistähtpäeva (31.03.2025) ja uue Intressimaksepäeva (31.03.2025) kajastamiseks; ja
(iii) [omal äranägemisel poolt või vastu / poolt / vastu] otsusele: (b) muuta Tingimusi, täiendades Tingimusi regulatsiooniga kirjaliku hääletamise protseduuri kohta ning muuta asjakohaseid Tingimuste punkte seoses kirjaliku hääletusprotsessi lisandumisega, ning kinnitada uus Tingimuste versioon vastavaid muudatusi kajastavas redaktsioonis, nagu on lisatud PRFoods’i teate Lisas 2. |
