The Financial Supervisory Authority of Norway has approved the following

prospectus:

Prospectus for rights offering and subsequent listing of 100,000,000 new

shares (the "New Shares") each with a par value of NOK 0.20 at a

subscription price of NOK 0.50 per New Share (the "Prospectus")

DiaGenic ASA

The information contained in the Prospectus relates to a rights offering

(the "Rights Offering") and subsequent listing of 100,000,000 New Shares

each with a par value of NOK 0.20 at a subscription price of NOK 0.50

per New Share (the "Subscription Price"), with subscription rights

("Subscription Rights") for existing shareholders (the "Existing

Shareholders") of DiaGenic ASA (the "Company") as of the end of 25

February 2014 as appearing in the Norwegian Central Securities

Depository ("VPS") on 28 February 2014 (the "Record Date"). The Rights

Offering is fully underwritten by an underwriting syndicate.

Each Eligible Shareholder will be granted 12.25509 Subscription Rights

for each Share registered as held by such Eligible Shareholder as of the

Record Date rounded down to the nearest whole Subscription Right. Each

Subscription Right will, subject to applicable securities laws, give the

right to subscribe for and be allocated one New Share.

Subscription Period for the Rights Offering:

The subscription period for the Rights Issue commences on 17 March 2014

and expires at 17:30 hours, Central European Time ("CET"), on 31 March

2014 (the "Subscription Period"). The Subscription Rights will be

tradable on Oslo Børs during the Subscription Period under the ticker

symbol "DIAG S".

Important notice: Subscription Rights that are not used to subscribe for

New Shares before the end of the Subscription Period will have no value

and will lapse without compensation to the holder.
