Stipula dell'atto di fusione per incorporazione di Creactives S.p.A. in Creactives Group S.p.A.
Comunicazione di variazione del capitale sociale
Verona, 30 dicembre 2024. CreactivesGroup S.p.A. ("Creactives Group" o "Società") (ISIN IT0005408593 - ticker: CREG), società internazionale e PMI Innovativa, quotata su Euronext Growth Milan – Segmento Professionale ("Euronext Growth Milan Pro"), che sviluppa tecnologie di intelligenza artificiale nel campo della Supply Chain, facendo seguito ai comunicati stampa del 25 settembre 2024 e del 28 ottobre 2024 rende noto che in data odierna è stato stipulato l'atto di fusione per incorporazione della società interamente controllata Creactives S.p.A. ("Incorporanda") in Creactives Group, nei termini di cui al progetto di fusione approvato in data 28 ottobre 2024 ("Fusione"), che in pari data è stato depositato presso il competente Registro delle Imprese.
Si ricorda che la Fusione è stata approvata dall'assemblea degli azionisti della Società in data 28 ottobre 2024 e in pari data è stata altresì deliberata dall'assemblea della Incorporanda.
La Fusione si colloca nell'ambito di un processo di razionalizzazione degli assetti societari e di semplificazione dei rapporti commerciali e finanziari della Società e del gruppo, finalizzato a realizzare una importante riduzione dei costi gestionali.
Si ricorda altresì che sussistendo i presupposti per la Fusione c.d. "semplificata" di cui all'art. 2505 cod. civ., non saranno assegnate azioni della Società in concambio delle partecipazioni detenute nella Incorporanda, che saranno quindi annullate, e non avrà luogo alcun aumento di capitale sociale di Creactives Group al servizio del concambio, né alcuna modifica del numero e delle caratteristiche delle azioni Creactives Group in circolazione, né sarà attribuito alcun conguaglio in denaro.
Gli effetti giuridici della Fusione ai sensi dell'art. 2504-bis, co. 2, cod. civ., decorreranno dalla data in cui sarà eseguita presso il registro delle imprese l'ultima delle iscrizioni prescritte dall'articolo 2504, cod. civ.. La Società darà pronta comunicazione al mercato della decorrenza degli effetti giuridici della Fusione. A norma dell'art. 2504-bis, co. 3, cod. civ., le operazioni della Incorporanda saranno invece imputate in Creactives Group con decorrenza dal 1° luglio 2024.

Si segnala inoltre che in data odierna è stata altresì depositata presso il Registro delle Imprese di Verona l'attestazione ai sensi dell'articolo 2444 del Codice Civile di avvenuta esecuzione dell'aumento di capitale a pagamento deliberato dal Consiglio di Amministrazione in data 10 dicembre 2024 in esercizio della delibera conferita dall'assemblea del 28 ottobre 2020, rivolto ad investitori qualificati e istituzionali.
Facendo seguito a quanto comunicato in data 11 dicembre 2024, si riporta di seguito la nuova composizione del capitale sociale ad esito dell'avvenuta sottoscrizione di n° 630.000 nuove azioni ordinarie collocate ad un prezzo pari a Euro 2,50 (di cui Euro 0,02 a capitale sociale ed Euro 2,48 a sovrapprezzo) per azione, per un controvalore complessivo pari a Euro 1.575.000,00 (incluso sovrapprezzo):

Signing of the deed of merger by incorporation of Creactives S.p.A. into Creactives Group S.p.A.
Notification of change in share capital
Verona, December 30, 2024. Creactives Group S.p.A. ("Creactives Group" or the "Company") (ISIN IT0005408593 ticker: CREG), an international company and Innovative SME, listed on Euronext Growth Milan – Professional Segment ("Euronext Growth Milan Pro"), that develops Artificial Intelligence technologies to address real-life business problems in the Supply Chain, following the press releases of September 25, 2024 and October 28, 2024 announces that today the deed of merger by incorporation of the wholly owned subsidiary Creactives S.p.A. ("Merged Company") into Creactives Group, under the terms set forth in the merger plan approved on October 28, 2024 ("Merger"), which was filed on the same date with the competent Companies Register.
It should be noted that the Merger was approved by the shareholders' meeting of the Company on October 28, 2024, and on the same date it was also approved by the shareholders' meeting of the Merged Company.
The Merger is part of a process of rationalization of corporate structures and simplification of business and financial relations of the Company and the group, aimed at achieving a major reduction in operating costs.
It should also be noted that since the conditions for the so-called "simplified" Merger set forth in Article 2505 of the Italian Civil Code have been met, no shares of the Company will be allotted in exchange for the shares held in the Merged Company, which will therefore be cancelled, and no increase in the share capital of Creactives Group to service the exchange will take place, nor will there be any change in the number and characteristics of the outstanding Creactives Group shares, nor will any cash adjustment be attributed.
The legal effects of the Merger pursuant to Article 2504-bis, co. 2, of the Italian Civil Code, will take effect from the date on which the last of the registrations prescribed by Article 2504, of the Italian Civil Code, will be made at the Companies Register. The Company will promptly notify the market of the effective date of the legal effects of the Merger. Pursuant to Article 2504 bis, co. 3, of the Civil Code, the operations of the Merged Company will instead be charged to Creactives Group effective July 1, 2024.

It should also be noted that on today's date, the certificate pursuant to Article 2444 of the Italian Civil Code that the paid capital increase approved by the Board of Directors on December 10, 2024 in exercise of the resolution conferred by the Shareholders' Meeting of October 28, 2020, addressed to qualified and institutional investors, was also filed with the Verona Companies Register.
Following the announcement on December 11, 2024, the new composition of the share capital as a result of the subscription of 630.000 new ordinary shares placed at a price of Euro 2,50 (of which Euro 0,02 to share capital and Euro 2,48 to share premium) per share, for a total value of Euro 1.575.000,00 (including share premium), is shown below:
