Background on new suggested members of the Board of Directors in EMGS

Eystein Eriksrud

Eystein Eriksrud is the Deputy CEO of the Siem Industries Group. He is chairman of Siem Offshore Inc. and a director of Subsea 7 S.A., Siem Kapital AS, Siem Capital UK Ltd. and Siem Europe Sarl.

Prior to joining Siem Industries in October 2011, Eystein Eriksrud was partner of the Norwegian law firm Wiersholm Mellbye & Bech since 2005 working as a business lawyer with an internationally oriented practice in mergers and acquisitions, company law and securities law, particularly in the shipping, offshore and oil service sectors. He was Group Company Secretary of the Kvaerner Group from 2000-2002 and served as Group General Counsel of the Siem Industries Group from 2002-2005. He has served on the boards of Privatbanken ASA and Tinfos AS as well as a number of other boards. He is a Norwegian citizen.

Petteri Soininen

Petteri Soininen is currently the Co-Head of the RWC Partners European Focus Fund. Petteri has been responsible for the Fund since February 2009 and oversees and manages all engagement activities with companies in the European portfolio. Petteri has over 14 years of experience working with top management mostly as a strategy consultant with The Boston Consulting Group (BCG) in both Europe and the US. He has extensive experience in collaborating with top management to design and implement change programs including major transformations to deliver sustainable shareholder value.

Petteri holds a M.Sc. (with distinction) in Industrial Engineering from the Helsinki University of Technology. Petteri is a Finnish citizen and native speaker and fluent in English, German and Swedish.

Johan Kr. Mikkelsen

Johan Kr. Mikkelsen is currently the Chief Technology Officer of Perestroika AS. Prior to joining Perestroika, he held various positions in Statoil, including almost five years in Brazil as Director in the Peregrino project. Prior to Statoil, he worked 25 years for Hydro.

Mimi K. Berdal

Mimi K. Berdal currently runs an independent legal and corporate counseling business. She holds a Cand.Jur (law) degree from the University of Oslo and is admitted to the Norwegian Bar Association.

Mimi Berdal is also member of the Board of Directors of the listed companies REC Solar ASA and Itera ASA, in addition to Gassco AS.

Tone Østensen

Tone Østensen is partner at the leading Norwegian law firm Wiersholm. She has broad experience from equity capital transactions including IPO's, public and private placements, mergers, demergers, take-overs and general M & A. Tone Østensen is ranked amongst Norway's most prominent lawyers in her areas of expertise.
