Secondary sale of shares

ABG Sundal Collier Norge ASA has been retained to

sell up to 1,785,318 shares in Nordic Semiconductor

ASA in connection with exercise of a total of

1,307,575 options by employees and 750,000 shares

from Svenn-Tore Larsen, CEO in Nordic Semiconductor

ASA.

The following primary insiders have committed to

acquire shares in the transaction:

- Pål Elstad, Chief Financial Officer, will acquire

shares for NOK 200,000. Mr. Elstad currently owns 0

shares and 0 options in Nordic Semiconductor ASA.

- Tore Valderhaug, Board member, will acquire shares

for NOK 300,000. Mr. Valderhaug currently owns 0

shares and 0 options in Nordic Semiconductor ASA.

- Nikolas Rogne, immediate family of Terje Rogne the

Chairman of the Board, will acquire 1,000 shares. Mr.

Rogne currently owns 0 shares and 0 options in Nordic

Semiconductor ASA.

Of the total number of exercised options, 160,000 are

from the following primary insiders who are selling a

total of up to 150,000 shares:

- Ole-Fredrik Morken, Supply Chain Director,

exercises 60,000 options at a price of NOK 38.43 per

share and sells 60,000 shares.

- Ebbe Rømcke, Quality Director, exercises 100,000

options at a price of NOK 38.43 per share and sells

90,000 shares.

After the exercise, Ole-Fredrik Morken, holds 140,000

shares and 65,000 options in Nordic Semiconductor ASA.

After the exercise and sale of shares, Ebbe Rømcke,

holds 68,900 shares and 100,000 options in Nordic

Semiconductor ASA.

After the sale of shares, Svenn-Tore Larsen, CEO in

Nordic Semiconductor ASA, holds 1,890,400 shares and

575,000 options in Nordic Semiconductor ASA.

The placement will be carried out after market close

on 24 February 2015.
