Scatec Solar ASA: Annual general meeting held

Oslo, 7 May 2015: Scatec Solar ASA ('SSO') held its annual general meeting on 7

May 2015 at 10:00 (CET). A total of 64,494,984 shares, representing 68.75% of

the share capital was represented at the general meeting.

The general meeting resolved the board's proposal of a dividend of NOK 0.27 per

share. The dividend shall accrue to the company's shareholders as they appear in

the company's shareholder register in the VPS as per 11 May 2015, being the

company's shareholders at the date of the general meeting, 7 May 2015, based on

regular T+2 settlement. The company's shares will trade on the Oslo Stock

Exchange exclusive the right to receive dividend as from 8 May 2015. The

dividend is expected to be paid on 15 June 2015.

All proposals were resolved as presented in the notice convening the general

meeting distributed on 14 April 2015, as further set out in the minutes from the

general meeting attached hereto.
