Scatec Solar ASA: Notice of the annual general meeting 4 May 2016

Oslo, April 13, 2016: Scatec Solar ASA ('SSO') calls for the annual general

meeting of SSO to be held at Høyres Hus, Stortingsgata 20, 0161 Oslo, Norway on

4 May 2016 at 10:00 (CET).

The board has inter alia proposed that the general meeting resolves a dividend

of NOK 0.66 per share. Pursuant to the board's proposal, the dividend shall

accrue to the Company's shareholders as they appear in the Company's shareholder

register in the VPS on 6 May 2016, being the Company's shareholders at the date

of the general meeting based on regular T+2 settlement. The Company's shares

will trade on Oslo Stock Exchange exclusive the right to receive dividend as

from 5 May 2016. The dividend is expected to be paid on or about 15 June 2016.

Furthermore, the board has proposed that the general meeting renews the board

authorizations to increase the Company's share capital with up to 10% of the

current share capital.

The notice convening the general meeting, including the agenda and the board's

proposals to the matters to be dealt with, is enclosed with this notification

and will be sent to all shareholders with known addresses.
